Nominee Secretary

Our dormant limited company @UKPLC Client Secretary Ltd can act as your company secretary. The fee for this is £ 60 and covers completing the annual return. All other company secretarial work e.g.
- Issuing shares
- Transfers
- Minutes of meetings
- Notices for Annual General Meeting
will be charged at appropriate hourly rates from £ 80 to £ 190 per hour. Standard matters are at the £ 80 rate, complex advice is at higher rates along with referral to appropriate professionals.
Following the Money Laundering regulations of 15th December 2007, in common with all other UK formation agents, we will now be requiring Due Diligence for this service.

The Companies Act 2006 – 6 April 2008 Implementation:
Under the provisions of the new Companies Act 2006, from 6 April 2008, it will no longer be mandatory for private companies to have a Company Secretary and they will be allowed to operate with just one Director if they wish.
However, a company still has the option to appoint a company secretary if required who will continue to act in the same way as now with no change to the duties and authority that apply under current rules.
It is important to note that there has been no change to the duties and responsibilities of the Company Secretary, and if no secretary is appointed then those duties must be carried out by the Director.

NOTE: The Company Secretary Service will need to be renewed after one year. You will be contacted regarding confirmation of details re: the filing of the annual return, and renewal of the service. If we are to provide an efficient service, you will need to keep us informed of any changes in contact details. If we are unable to contact you, we will be unable to file the annual return, nor continue to act on your behalf. Ultimately we will have to refer the matter to Companies House.
Registered Office Service
(Please note: This service is only available for existing customers )
For £60 we can act as the registered office for your company and will forward all official correspondence on to you on a next day basis.
10 items included in the annual fee, further items are charged at £ 1 + postage.
(The majority of companies just receive an annual return, accounts reminder and an Inland Revenue return).
We have over 3500 companies using this address as a registered office so we reserve the right to terminate the registered office service immediately if in our judgement the service might in anyway prejudice our address.

If you are a Director and want to protect your privacy, you now have the option to do so. As a Director, you previously had to provide your residential address which was visible on the public record. However, since the final stages of the new Companies Act 2006 were implemented on 1st October 2009, Director’s now have the option to have an alternative ‘Service Address’ shown on the public record rather than their residential address (which still needs to be provided for incorporation purposes).
We are offering this product at £60 + VAT or half price for existing Registered Office clients at £30 + VAT per year! One service covers all Directors within that company.

For £60 @UK PLC are offering a new Annual Filing and Compliance Service whereby we will not only file your Annual Return to ensure your company is kept in good standing but, on a monthly basis we will check your company’s filing record at Companies House, report any activity to you and provide you with a copy of any unauthorised documents filed. Please note that this service does not include filing annual accounts.
