Application to support Reserved Words £25

If you have used a word in the name of your company like Architect, Group, International, Nurse, Companies House require supporting information justifying the use of the word in the company name. We will contact you.

Special Resolution to change Company Name £30

If you decide to change your company name, Companies House needs to be notified in order to amend their register.  We levy a charge of £30 to complete and submit the required resolution and form NM01 to Companies House.

Customised Memorandum & Articles of Association £25

The Memorandum and Articles of Association that we provide as part of our company formation packages contain standard information which includes the company’s name, where the registered office of the company is situated and what the company will do.

We also provide a customised service whereby we will adapt our standard Mem & Arts to suite individual needs if required.

Updating Company Memorandum & Articles

(Please note: This service is only available to customers who set up their companies with us and have an incorporation date before 1st October 2009)

Since the final stages of the new Companies Act 2006 were implemented on 1st October 2009, Companies may wish to review their Memorandum & Articles so that they reflect the current Company Law.

If it would benefit your company to change from its 1985 Companies Act Memorandum & Articles to the new 2006 version, please read the ‘More Info’ section to find out the new changes.

We will file a Special Resolution with Companies House to adopt your new Memorandum & Articles and you will also receive a copy of your new model M & A via email.

More Information

The 2006 Act has reduced the Memorandum to a document of record only which simply contains a statement that the subscribers wish to form a company and have agreed to take at least one share. The new Memorandum does not contain an objects clause. The 2006 company therefore has no restrictions on its objects.

The Act has also introduced a new set of Articles designed to simplify the administration of private companies. One of the major changes is the abolition of authorised share capital so that the company has unlimited authority to issue shares.

The Act does not permit partly paid shares, provisions for the payment of dividends have been simplified, and there is no requirement to have a company secretary, a company seal or to hold an Annual General Meeting.

Several of the changes relate to directors, for example, simplification of directors’ ability to delegate, the provision requiring directors to retire by rotation has been removed, there is no longer provision for alternate directors and the absence of a director from directors’ meetings for six months no longer gives the remaining directors the right to terminate the appointment.

There have also been key changes regarding communication with members, a 2006 company can now send documents to its members by electronic communications as the default position, subject to shareholder approval.

File Dormant Accounts £25

If you register a dormant company you are required to file your accounts annually.  The accounts which are to be filed will show limited financial data except for assets and shares held.  If you upgrade a dormant company to an active and trading company you will be required to file normal annual accounts.

Please note that if you have purchased our dormant company services the filing of your accounts is included.

VAT Registration Assistance £50

Get help with your VAT registration by allowing us to complete the necessary forms to be sent to Customs and Excise.

On receipt of your order we will contact you to obtain  the correct and necessary information needed to fill out the form.  Once we have completed the form on your  behalf we will then post it to you for signing and forwarding to Customs and Excise.

On ordering you must supply a telephone number you can be contacted on during office hours.

Customers residing outside the UK will incur an additional charge dependent on time.

Dissolve non-trading Company £25

We will dissolve your dormant company at Companies House on your behalf if you no longer require it, our nominee officers are still in place and it has not traded since formation
